Supply Conditions

The Supply Conditions governing the relationship between Barattieri Sinterizzati and the Customer are set out below


General principles

These General Conditions apply to all legal relationships in which Barattieri Sinterizzati srl with registered office in Villaggio Prealpino, traversa XXXII, n°6, 25136 Brescia – Italy (hereinafter “BiSint”), participates for the production of sintered parts. These general conditions of supply integrate and complete the offer formulated by BiSint.
In case of discrepancy between the offer formulated by BiSint and these general conditions, what is indicated in the offer will prevail.

Object

Object of the service performed by BiSint: BiSint produces standard or customized parts in sintered material.

Production documentation/specifications

Treatments and processes must be defined and indicated by the customer on drawings or written instructions. In the absence of specific written indications, BiSint will deem that the product should not have any treatment or manufacturing and, in these cases, BiSint will not accept complaints or returns.
In the same way BiSint will carry out all the machining or treatments written in the drawing of the detail unless otherwise specified in writing.

Quantity

The quantity delivered to the customer may vary by 10% either positively or negatively.

Samples

In the case of a first supply of a design part, BiSint will carry out a sampling which must be accepted by the customer in order to proceed with production.
After 30 days from the date of receipt of the samples, in the absence of a written objection, the samples will be considered accepted and compliant with the customer’s requests.

Offer

All offers, in any form, are binding for 30 days. In the absence of an express acceptance by the customer, fully compliant with the proposal formulated by BiSint, the offer is deemed not to have been accepted.

Price

The supply price is the one indicated in the offer and in the order confirmation formulated by BiSint and fully accepted by the customer. If due to unforeseeable circumstances there are increases in the cost of materials, treatments or processes, BiSint will be entitled to a revision of the same price by communicating it during the customer’s order.

Delivery

The delivery terms indicated by BiSint, unless otherwise agreed in writing with the customer, do not
can never be regarded as essential terms.
In the event that BiSint fails to deliver within the agreed term, the customer must contest the delay in writing, granting it a reasonable term for fulfillment.
In the event that BiSint is unable to promptly carry out the delivery following circumstances not attributable to it and beyond its control, it may, without incurring liability, delay the fulfillment to the extent made necessary by the circumstances.

Transport

The goods travel according to the conditions described in the offer.

Packaging

The packaging of the goods will be carried out according to BiSint standards (in nylon bags and cardboard boxes).
cardboard, if the quantity is large, the boxes will be shipped on pallets). All packages are accompanied by
transport document.

Product verification and complaints

The customer is required to check the condition of the material delivered upon receipt of the same. Any complaints relating to immediately perceptible defects must be presented to BiSint in writing, immediately, and in any case within the limitation period of 8 working days from the delivery of the products subject to complaint.
In the absence of such prompt complaint, the goods will be considered accepted for all legal purposes, no complaint can be made after further processing or treatment by the customer, which constitute definitive tacit acceptance.
No dispute authorizes the customer to carry out or have repairs carried out by third parties, without written authorization from BiSint

Warranty for defects

BiSint guarantees that the materials used for the production have the specific characteristics indicated in the technical data sheets of its suppliers

Payments

All payments must be made at the deadlines agreed in writing between the parties. If the customer fails to pay within the agreed term, this is considered legally defaulting and BiSint can, without the need for formal notice, automatically charge default interest to the extent envisaged by Legislative Decree. 9 OCTOBER 2002, N. 231.
Furthermore, non-payment will result in the suspension of other orders held by BiSint with immediate effect

Order cancellation

For each order already confirmed by BiSint and canceled by the Customer, BiSint will charge the customer 20% of the total order, excluding VAT. If, on the other hand, the material is already produced, the cancellation of the order will not be accepted under any circumstances.

Confidentiality

The customer and BiSint undertake to keep strictly confidential with third parties information, data, knowledge and documents of a confidential nature of mutual pertinence, of which they may have become aware in relation to the conclusion and execution of each supply.
